Terms of Service

These Terms of Service ("Terms") govern the use of the software "BaseOneAI" ("Software") provided by TAKER
Inc. ("Company"). By downloading or using the Software, you agree to these Terms.
Article 1 (Definitions)

"Software" refers to the BaseOneAI application and its associated tools and plugins.

"User" refers to any individual or entity that downloads, installs, or uses the Software.
Article 2 (License)
The Company grants the User a non-exclusive, non-transferable license to use the Software for personal or
commercial purposes in accordance with these Terms.
Article 3 (Account)
When using Easy Mode, a User ID is automatically generated (UUID format). No personal information
registration is required.
Article 4 (Pricing)

BaseOneAI App: Free (some paid plugins available, one-time purchase)

AI Usage (Easy Mode Free Plan): Up to 30 calls/month for free

AI Usage (Easy Mode Paid Plan): ¥500/month (tax incl.) for up to 300 calls/month

Own API Key: No fees to the Company (API provider fees are borne by the user)
Article 5 (Prohibited Actions)
Users shall not engage in
the following:
- Reverse engineering,
decompiling, or disassembling the Software
- Redistributing,
selling, or sublicensing the Software to third parties
- Using the Software for
illegal purposes
- Infringing
intellectual property rights of the Company or third parties
- Using the
Software for attacks, fraud, spam, or similar activities against others

Generating harmful or illegal content
using AI features

Circumventing rate limits (creating multiple accounts, unauthorized API use, etc.)
Article 6 (Disclaimer)
THE SOFTWARE IS PROVIDED "AS IS." THE COMPANY MAKES NO WARRANTIES, EXPRESS OR IMPLIED,
REGARDING THE QUALITY, PERFORMANCE, ACCURACY, RELIABILITY, OR FITNESS FOR A PARTICULAR PURPOSE OF THE
SOFTWARE.
The Company shall not be
liable for:
- Any damages arising from the
use or inability to use the Software
- Bugs, errors, or
defects in the Software
- Loss, corruption, or leakage of
data
- Issues
caused by third-party service (AI APIs, etc.) failures, changes, or shutdowns
- The content or
quality of any content generated by Users using the Software
- Compatibility
issues with other software
Article 7 (AI-Generated Content)
The Software includes
features powered by AI (Artificial Intelligence).

The Company does not guarantee the accuracy, legality, or appropriateness of AI-generated content.
- Users bear full
responsibility for the use of AI-generated content.
- The Company
is not liable if AI-generated content infringes on third-party rights.
Article 8 (API Key Management)

API keys entered by Users (OpenAI, Google, etc.) are stored only on the User's local device. They are
NOT transmitted to our servers.

Users are responsible for managing and protecting their API keys. The Company is not liable for damages
caused by key leakage or unauthorized use.
- API
usage fees are subject to each provider's terms and are borne directly by the User.
Article 9 (Security &
Network Access)

The Software runs locally, but accessing it remotely via Cloudflare Tunnel or similar services involves
network risks.

Users are responsible for security management including password settings, session management, and
access controls.
- The Company
provides security features but does not guarantee complete security.
Article 8 (Intellectual Property)
All intellectual property rights related to the Software belong to the Company or its rightful owners.
Rights to content created by Users using the Software belong to the Users.
Article 11 (Support)
The Company is not obligated to provide support for the Software. Support is provided at the Company's
discretion.
Article 12 (Service Changes)
The Company may change pricing or features with prior notice on this page.
Article 13 (Changes to Terms)
The Company may modify these Terms without prior notice. Updated Terms take effect upon publication on this
page.
Article 14 (Limitation of Liability)
Even if the Company is held liable, the maximum amount of damages shall be limited to the amount paid by the
User for the Software. For free users, the liability cap is $0.
Article 15 (Governing Law &
Jurisdiction)
These Terms are governed by Japanese law. Any disputes shall be subject to the exclusive jurisdiction of the
Fukuoka District Court as the court of first instance.
Article 16 (Severability)
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall
continue in full force and effect.
